This is a NON-DISCLOSURE AGREEMENT, intended to be legally binding.
This document is an agreement between Sibling Technologies, its employees, agents, and assignees (the "Company"), and the individual/organization listed below, its employees, agents, and assignees, collectively referred to as the "Parties".
The purpose of this document is to facilitate open communication between the Parties for the purpose of sharing proprietary information with partners, employees, and potential employees. This document shall supersede and survive all other agreements, written and verbal, between the Parties.
1. In the event that open discussion of certain practices and projects may reveal proprietary, valuable, or otherwise CONFIDENTIAL information, pertaining to the business pursuits of the Company, its clients, contracts, employees, partners, investors, advisors, counsel, or any other professional or personal relationship, such information shall be treated as CONFIDENTIAL and may not be shared outside the Company.
2. Information about employees' salaries and compensation is CONFIDENTIAL, and should not be shared with other employees, former employees, or potential employees.
3. The Parties shall make reasonable effort to establish the CONFIDENTIAL nature of information, prior to its use. In the event that one Party receives information that appears CONFIDENTIAL, but was not pointed out as such, the receiving Party shall use discretion, favoring caution, and bring the CONFIDENTIAL information to the attention of the disclosing Party.
4. Compensation for financial loss due to the intentional or unintentional distribution of the Company's CONFIDENTIAL information will be determined on a case by case basis according to local laws.
